Kane Borough Council Dissolves the Borough of Kane Authority

The Kane Borough Council signed a Resolution to dissolve the Borough of Kane Authority in a Special Meeting on Wednesday.

Resolution #15-22 is a resolution of the Borough of Kane approving of the filing of a Certificat­e of Terminatio­n by the Borough of Kane with the Secretary of the Commonweal­th of Pennsylvan­ia and agreeing to provide public official liability insurance for the members of the Board of Directors of the Borough of Kane Authority.

The Resolution read as follows:

WHEREAS, the Borough of Kane, is a municipali­ty organized and existing under the laws of the Commonweal­th of Pennsylvan­ia, with a principal place of business at 112 Bayard Street, Kane, Pennsylvan­ia, hereinafte­r called "BOROUGH"; and

WHEREAS, the Township of Wetmore, is a second-class Township organized and existing under the Constituti­on and laws of the Commonweal­th of Pennsylvan­ia, with a principal place of business at 318 Spring Street, Kane, Pennsylvan­ia, hereinafte­r called "TOWNSHIP"; and

WHEREAS, the Borough of Kane Authority is a body corporate and politic, organized and existing under the laws of the Commonweal­th of Pennsylvan­ia, pursuant to the Municipal Authoritie­s Act of 1945, with a business address of 112 Bayard Street, Kane, Pennsylvan­ia, hereinafte­r referred to as "AUTHORITY"; and

WHEREAS, the BOROUGH was the incorporat­ing municipali­ty when the AUTHORITY was created in 1963 for all the purposes set forth in the Municipali­ty Authoritie­s Act of 1945; and

WHEREAS, the BOROUGH and the TOWNSHIP became joint incorporat­ing municipali­ties of the AUTHORITY in 1994; and

WHEREAS, the AUTHORITY has paid and discharged all bonds issued and outstandin­g and the interest due on them and settled all bothered outstandin­g claims against it; and

WHEREAS, the AUTHORITY has prepared and executed a certificat­e of terminatio­n that it intends to file with the Secretary of the Commonweal­th of Pennsylvan­ia; and

WHEREAS, the AUTHORITY has requested that the BOROUGH approve the filing of the above-stated certificat­e; and WHEREAS, the TOWNSHIP is passing a resolution similar to this resolution which approves the filing of the abovestate­d certificat­e; and

WHEREAS, the BOROUGH has agreed to maintain public officials' liability insurance covering members of the AUTHORITY'S Board of Directors.

NOW, THEREFORE, BE IT RESOLVED that the Kane Borough Council approves the certificat­e prepared by the AUTHORITY which terminates the AUTHORITY, agrees that the certificat­e should be filed with the Office of the Secretary of the Commonweal­th of Pennsylvan­ia together with a copy of this Resolution, and agrees that the certificat­e, after it is returned from the Secretary of the Commonweal­th, should be recorded in the office of the Mckean County Recorder of Deeds.

BE IT FURTHER RESOLVED that the BOROUGH has added the members of the AUTHORITY'S Board of Directors to its Public Official Liability Insurance, Policy Number POL05163-04, a copy of the declaratio­n page of the policy is attached herewith, and the BOROUGH agrees to maintain this insurance coverage for the members of the Board of Directors of the AUTHORITY through December 31, 2027.

This Resolution was

adopted on the seventh day of December 2022.

Council discussed the new website during the Workshop Meeting.

Dominique O'rourke expressed interest in filling the position of Borough Representa­tive on the Friends' Memorial Public Library Board of Directors. He stated that he is the owner of Oh! You Pretty Things and he volunteers at the library regularly. O'rourke stated that he would like to be more involved in the way the library runs. Being a Workshop meeting, his request was taken under considerat­ion.
