Rules on disclosures to be discussed
THE CENTER for Global Best Practices is holding a seminar on “SEC Compliance with the Rules on Disclosures” on Aug. 29 at the Peninsula Manila, Makati City.
This will be the first program to discuss both financial and nonfinancial aspects of disclosure reporting requirements in the Philippines.

Owing to recent failures of many corporations, the Securities and Exchange Commission (SEC) is requiring stricter compliance with rules on disclosures. But most corporations are unaware of and unprepared for this resulting in costly fines, even suspension or revocation of licenses to operate.
The seminar will discuss thoroughly the SEC financial and nonfinancial rules on compliance, their interpretation, updates and best practices. It will guide board directors, corporate secretaries, compliance officers, other management people, lawyers and other stakeholders.
Participants will learn how disclosures are reported at registration and beyond, how to use SEC forms and templates. They will be taught solutions, remedies and relief in case a corporation is penalized.
Resource persons are Justina Fernandez-Callangan, director for SEC’s corporation finance department that directly checks, monitors, and ensures compliance with disclosure regulations; and Ma. Gracia Casals-Diaz, SEC general accountant who will discuss everything about financial disclosures including “Periodic Financial Disclosures,” “Issues and Pervasive Findings on Financial Reports,” “Materiality Test on Incompleteness or Misstatement in the Financial Statement” and “Recent SEC Memorandum Circulars Relevant to Annual Financial Disclosures.”
