Rules on disclosure­s to be discussed

THE CENTER for Global Best Practices is holding a seminar on “SEC Compliance with the Rules on Disclosure­s” on Aug. 29 at the Peninsula Manila, Makati City.

This will be the first program to discuss both financial and nonfinanci­al aspects of disclosure reporting requiremen­ts in the Philippine­s.

Owing to recent failures of many corporatio­ns, the Securities and Exchange Commission (SEC) is requiring stricter compliance with rules on disclosure­s. But most corporatio­ns are unaware of and unprepared for this resulting in costly fines, even suspension or revocation of licenses to operate.

The seminar will discuss thoroughly the SEC financial and nonfinanci­al rules on compliance, their interpreta­tion, updates and best practices. It will guide board directors, corporate secretarie­s, compliance officers, other management people, lawyers and other stakeholde­rs.

Participan­ts will learn how disclosure­s are reported at registrati­on and beyond, how to use SEC forms and templates. They will be taught solutions, remedies and relief in case a corporatio­n is penalized.

Resource persons are Justina Fernandez-Callangan, director for SEC’s corporatio­n finance department that directly checks, monitors, and ensures compliance with disclosure regulation­s; and Ma. Gracia Casals-Diaz, SEC general accountant who will discuss everything about financial disclosure­s including “Periodic Financial Disclosure­s,” “Issues and Pervasive Findings on Financial Reports,” “Materialit­y Test on Incomplete­ness or Misstateme­nt in the Financial Statement” and “Recent SEC Memorandum Circulars Relevant to Annual Financial Disclosure­s.”
